Contents

1. Introduction

These Terms of Service (ā€œTermsā€) form a binding agreement between you and BANQAM, the financial technology platform operated by the legal entity identified in the Company details section of these Terms. They govern your access to and use of the BANQAM website, applications and services.

By creating an account or using any BANQAM service, you confirm that you have read, understood and agreed to be bound by these Terms. If you do not agree, you must not create an account or use the services.

The availability of individual services depends on your jurisdiction, eligibility, verification status, provider approval, compliance requirements and applicable law.

2. About BANQAM

BANQAM is a financial technology platform. Unless a specific status is explicitly supported by an applicable licence held by the operating legal entity, BANQAM is not a bank, an electronic money institution, a payment institution, a card issuer or a deposit-taking institution.

Certain regulated financial services, such as payment accounts, IBANs, cards, payment processing, identity verification and bank account connectivity, may be provided by independent licensed banks, payment institutions, electronic money institutions, card issuers, payment processors or other regulated financial service providers.

The availability of individual services may depend on:

  • Jurisdiction
  • Customer eligibility
  • Identity and business verification (KYC/KYB)
  • Provider approval
  • Compliance requirements
  • Product availability
  • Applicable law

BANQAM does not guarantee that any particular customer will receive an IBAN, a Financial Account, a card, payment capability, a bank connection, payout capability, currency conversion or any other particular financial product.

3. Eligibility

You may use BANQAM only if all of the following apply:

  • you are at least 18 years old, or have reached the age of legal capacity in your jurisdiction;
  • you are legally capable of entering into a binding agreement;
  • you are not a person subject to sanctions, are not located in a sanctioned jurisdiction, and are not otherwise prohibited from using financial services under applicable law;
  • you provide accurate, current and complete information.

BANQAM may decline to open or continue an account where required by law, compliance requirements or its providers.

4. Account Registration

  • Register with accurate and current information and keep it up to date.
  • Keep your credentials and authentication factors confidential.
  • You are responsible for activity carried out under your account.
  • Notify BANQAM immediately of any unauthorized access or suspected compromise.

5. Identity and Business Verification

BANQAM and/or its regulated service providers may require you to complete identity verification (KYC), business verification (KYB) or related checks before or while providing services. These may include:

  • identity verification
  • business verification
  • beneficial owner information
  • source-of-funds information
  • transaction information
  • additional compliance documentation

You may be restricted from certain services until verification is completed. BANQAM may request additional verification at any time for security, regulatory, provider or risk reasons. Identity verification may be provided using Stripe Identity.

6. Customer Responsibilities

  • Use the services lawfully and in accordance with these Terms.
  • Provide accurate information and cooperate with reasonable compliance requests.
  • Protect your credentials, devices and authentication factors.
  • Maintain sufficient available funds for transactions you initiate.
  • Review statements, notifications and transaction records promptly and report errors without delay.

7. Financial Services Provided Through Third Parties

Financial services available through BANQAM are provided through independent regulated third parties. Where applicable, the terms and conditions of those providers also govern the relevant service.

Providers decide, in their discretion and subject to law, whether to approve, limit, suspend or terminate the provision of their services to you. BANQAM cannot guarantee provider approval or continued availability of any provider service.

8. Payments

Where available, payments are processed through regulated payment processors and providers. By initiating a payment, you authorize the processing of that payment in accordance with your instructions.

Processing times, errors and reversals depend on the payment method, provider rules and applicable payment schemes.

9. Funding and Money Movement

  • Fund your account only through the funding methods presented in the app.
  • Funds are credited only after the relevant provider confirms the payment.
  • Funding may be subject to holds, delays or reversals for risk, compliance or verification reasons.
  • Funding and money movement depend on provider availability and applicable law.

10. Connected Bank Accounts

Connecting an external bank account is optional. Bank account connectivity may be provided using Stripe Financial Connections. With your permission, BANQAM may receive tokenized bank account information and account ownership details to verify your account and support payments, payouts or account funding.

You may disconnect a connected bank account at any time. Disconnecting prevents future use of the connection; records retained for legal purposes are kept as required by law.

11. Financial Accounts

Where available and subject to eligibility, BANQAM may provide access to financial account, payment, or card functionality through regulated third-party providers.

Financial Account features — including account details such as IBANs, the ability to receive payments, and account restrictions — depend on the provider, your jurisdiction, verification status and compliance requirements. The account terms of the relevant provider apply.

12. Cards

Where available and subject to eligibility, cards may be issued through regulated card program partners. Card availability, features and limits depend on the issuing provider, your verification status and applicable law.

  • Keep your card credentials, PIN and security details confidential.
  • Use cards only for lawful purposes.
  • Card use is subject to card network rules and the issuing provider's terms.

13. Currency and FX Services

Where available, currency conversion services may be provided. Exchange rates, markups and applicable fees are shown to you in connection with the relevant conversion before you confirm it.

Currency conversion depends on market conditions, provider availability and applicable law, and is not an investment or trading service.

14. BANQAM Sell / Commerce Services

BANQAM may offer commerce services to approved merchants, such as payment links, invoices, online store functionality, customer management and payouts. Access to these services requires approval and remains subject to compliance requirements.

  • You are responsible for the goods and services you sell, including their legality, quality, delivery and consumer rights.
  • You must maintain and honour the refund policy you publish.
  • Settlement and payout timing follows the approved payout schedule and provider processing.
  • BANQAM may suspend commerce services for risk, compliance or provider reasons.

15. Fees and Pricing

Applicable fees are shown to you before or in connection with the relevant transaction or service where required. Fees may vary based on the service, the customer, the customer plan, the jurisdiction, the provider, the currency and the transaction amount.

Current pricing information is available in the app. Fee changes are communicated in accordance with these Terms.

16. Refunds, Reversals and Chargebacks

Refunds are governed by the relevant merchant policy and provider rules. Chargebacks and payment disputes are processed under the applicable card network and provider rules.

BANQAM and its providers may reverse, hold or adjust transactions where required by law, compliance, risk or provider rules.

17. Transaction Limits

Transaction, volume and balance limits may apply. Limits depend on verification status, risk assessment, compliance requirements, provider rules and applicable law, and may change over time.

18. Prohibited and Restricted Activities

You must not use BANQAM, or allow it to be used, for:

  • fraud or deceptive practices;
  • money laundering or terrorist financing;
  • sanctions evasion or dealings with sanctioned persons or jurisdictions;
  • unlawful transactions;
  • stolen or unauthorized payment credentials;
  • impersonation of another person or entity;
  • goods or services prohibited by applicable law;
  • abuse of payment, referral or reward systems;
  • circumvention of provider, platform or compliance controls.

Conduct that may be unlawful in a particular jurisdiction is prohibited everywhere on BANQAM.

19. Compliance and Financial Crime Controls

BANQAM applies compliance controls, including sanctions and watchlist screening, transaction monitoring and reporting obligations required by law. You agree to provide information reasonably requested for these purposes.

BANQAM may be legally required to restrict, freeze, report or terminate services, and is not liable for restrictions imposed in compliance with law.

20. Account Restrictions and Suspension

BANQAM may restrict, suspend, limit or close access to services where required by law, compliance, risk, provider requirements or a breach of these Terms. Where permitted, reasonable notice will be given.

Funds may be retained, held or returned in accordance with provider settlement timelines and legal obligations.

21. Service Availability

BANQAM aims for high availability but does not guarantee uninterrupted or error-free services. Availability may be affected by maintenance, updates, third-party provider downtime, security incidents and events outside BANQAM's reasonable control.

22. Third-Party Providers

Third-party providers are independent parties. BANQAM uses Stripe for certain payment, identity verification, bank connectivity, and financial technology services where applicable. Providers are responsible for their own services under their terms and applicable regulation.

Nothing in these Terms implies endorsement or sponsorship by any third party.

23. Intellectual Property

The BANQAM name, logo, platform, software and content are protected by intellectual property rights. You receive a limited, personal, revocable licence to use the app and services for their intended purpose.

You must not copy, reverse engineer, scrape or misuse BANQAM materials without permission.

24. Privacy and Data Protection

Your personal information is processed as described in the Privacy Policy. By using the services, you acknowledge the Privacy Policy, which forms part of these Terms.

25. Electronic Communications

You agree that BANQAM may communicate with you electronically, including by email and in-app notifications. Electronic communications have the same effect as written notices. You should keep your contact information current.

26. Security

BANQAM implements reasonable technical and organizational security measures. You should use available security features such as two-factor authentication, protect your devices, and report suspected unauthorized access immediately.

27. Liability

To the maximum extent permitted by law, BANQAM is not liable for indirect, incidental, special or consequential losses arising from use of the services. Where liability cannot be excluded, it is limited to the minimum extent permitted by law.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liabilities under mandatory consumer protection law.

28. Indemnification

To the extent permitted by law, you will indemnify BANQAM against losses arising from your breach of these Terms, your unlawful use of the services, or your infringement of third-party rights.

29. Termination

You may stop using the services and request closure of your account, subject to outstanding obligations and provider settlement timelines. BANQAM may suspend or terminate services for the reasons described in these Terms or where required by law.

Provisions that should reasonably survive termination — including verification records, fees owed and legal retention obligations — continue to apply.

30. Changes to the Terms

These Terms are versioned. Material changes are communicated to you before they take effect. If you continue to use the services after the effective date of an updated version, you accept the updated Terms where this is permitted by law.

Historical versions are retained, and your acceptance records always reference the exact version you accepted. For materially updated versions, BANQAM may require explicit re-acceptance.

31. Governing Law

These Terms are governed by the laws of the jurisdiction of the BANQAM legal entity identified in the Company details section, without prejudice to the mandatory protections of your country of residence where applicable law so provides.

32. Complaints and Support

You can submit complaints and questions through the support channels in the app or the contact details in the Company details section. Complaints are handled promptly and fairly.

These Terms do not affect any right you have to complain to a competent authority under applicable law.

33. Jurisdiction and Service Entity

BANQAM is a financial technology and financial orchestration platform. The legal entity that provides or contracts for a given BANQAM service may vary by your jurisdiction and by the service used.

  • Türkiye-facing services may be provided through MTC ISTANBUL OTOMOTİV EMLAK E-TİCARET SANAYİ VE TİCARET LİMİTED ŞİRKETİ, subject to applicable partner agreements, service availability and regulatory requirements.
  • UK and EEA-facing services may be provided through MTCUKHOLDING LTD, unless an applicable partner agreement or applicable law requires otherwise.
  • Regulated financial products and services, where offered, are provided by authorised and licensed third-party financial institutions.

The availability of any service in a given jurisdiction depends on partner eligibility, verification, compliance requirements and applicable law. BANQAM does not hold customer funds, issue bank accounts or issue cards unless this becomes legally true through an authorised partner arrangement.

Nothing in these Terms should be read as a claim that BANQAM or its operating entities are a bank, an electronic money institution or a payment institution.
